License Agreement

This is a license agreement between you and BirthPro Market that explains how you can use paid content that you license from BirthPro Market through the Individual Membership. By downloading content from BirthPro Market, you accept the terms of this agreement.

1) Type of License

This is a non-exclusive, limited-use license for one individual. This license applies to content downloaded from BirthPro Market. All content, whether video, GIFs, or photos, is subject to the same rules of use. Due to the nature of this product, there are no refunds.

2) Permitted Uses

You are permitted to use this content in any way that is not restricted (see below). Subject to those restrictions and the rest of this agreement, the rights granted to you by BirthPro Market are:

  • Perpetual: Your rights to use the content do not expire.

  • Non-exclusive: You do not have exclusive rights to use the content.

  • Unlimited: You can use the content in an unlimited number of projects and in any media of your choice as long as you are registered as a member with BirthPro Market.

3) License Expiration and Termination

Your license to create new uses for images expires when your paid subscription ends, whether through termination or failed payment. This means that when your paid subscription is terminated, you immediately lose the license and legal right to create any new media using BirthPro Market images. From the point of termination, you may no longer post new images on social media, on your website, or use our images in any further type of media. However, your license for previously used images is a lifetime license. Images used on your website, social media, print, or other media may remain in place indefinitely. You may not, however:

  • Reuse or repurpose the same images in a different way.

  • Repost previously used images.

  • Use previously used images in any new form or media.

4) Definition of Use

For the purposes of this agreement, “use” means copy, reproduce, modify, edit, synchronize, perform, display, broadcast, publish, or otherwise make use of. Examples of permitted uses include:

  • Websites

  • Blog posts

  • Social media

  • Advertisements

  • Marketing campaigns

5) Restricted Uses

You may not:

  • Unlawful Use: Use the content in any unlawful manner.

  • Pornographic Use: Use the content in any manner deemed pornographic by authorities, state, custom, or BirthPro Market.

  • Defamatory Use: Use the content in any defamatory manner.

  • Standalone File Use: Allow others to download, extract, or redistribute content as a standalone file (separate from your project or end use).

  • Sensitive Use Disclaimer Required: Use content featuring models or property in connection with sensitive subjects (e.g., sexually transmitted diseases, smoking while pregnant) without indicating that the content is for illustrative purposes only and any depicted persons are models (e.g., "Stock photo. Posed by model.").

  • False Representation of Authorship: Falsely represent yourself as the creator of a work primarily based on licensed content.

  • Products for Resale: Use content in connection with goods or services intended for resale where the primary value lies in the content itself. This includes on-demand products such as postcards, mugs, t-shirts, posters, and other items sold through custom websites or platforms like Zazzle or CaféPress.

6) Non-Transferable Rights

The rights granted to you are non-transferable, meaning you cannot transfer them to anyone else. The license is for a single-owner business only, and you may not share access with affiliated individuals or businesses.

7) Intellectual Property Rights

  • Ownership: All licensed content is owned by BirthPro Market or its content suppliers. All rights not expressly granted in this agreement are reserved.

  • Attribution: Photo credit is not required.

8) Content Withdrawal

BirthPro Market may discontinue licensing any item of content at any time at its sole discretion. Upon notice or knowledge of a potential infringement claim involving specific content, BirthPro Market may require you to:

  1. Cease using the content.

  2. Delete or destroy any copies.

  3. Ensure your clients, distributors, or employers do the same.

Replacement content may be provided at no charge, subject to the terms of this agreement.

9) Indemnification and Limitation of Liability

  • Indemnification: You agree to defend, indemnify, and hold harmless BirthPro Market, its affiliates, and its content suppliers from any damages, liabilities, or expenses (including reasonable legal fees) arising from your breach of this agreement.

  • Limitation of Liability: BirthPro Market is not liable for any punitive, special, indirect, consequential, or similar damages arising from this agreement. Some jurisdictions do not permit the exclusion of implied warranties or liability.

10) General Provisions

  • Assignment: This agreement is personal to you and cannot be assigned without prior written consent from BirthPro Market. BirthPro Market may assign this agreement to an affiliate or successor without notice.

  • Severability: If any provision of this agreement is found to be invalid or unenforceable, the remaining provisions remain in full force and effect, revised only as necessary to ensure enforceability.
